Kesteven is a modern law firm focussed on servicing the needs of growing technology businesses, investors and entrepreneurs.

Legal advice should always be clear, simple, pragmatic and commercially focussed

Good and regular client communication is essential

Fee arrangements must be clear from the outset, and fixed fee or capped fee arrangements may be the most appropriate

All work must be undertaken by an experienced and competent lawyer

Client instructions or queries must be dealt with quickly and effectively, with work being undertaken in a timescale that is professionally appropriate and helpful to the client

WHAT WE DO

We advise entrepreneurs, investors and established businesses on all aspects of corporate and commercial law including employment matters.

 

Here is a brief summary of the main kinds of work we typically undertake:

SETTING UP AND RUNNING A BUSINESS

 

We can assist in the establishment and operation of all kinds of businesses. This includes advising on relevant regulatory issues and drafting articles of association and shareholders’ agreements, which govern how the company is owned and operated.  We can also help with intellectual property matters, share option schemes and general commercial strategy.

FUNDRAISING AND INVESTMENT

 

We have extensive experience of working with companies, venture capital institutions and business angels on equity investments of all sizes (including convertible loan not financings). We also advise more generally on corporate finance matters and loan finance.

BUYING AND SELLING COMPANIES

 

We advise on buying and selling private companies by way of share sale or asset sale, management buyouts, corporate restructuring and similar transactions.

COMMERCIAL CONTRACTS

 

We draft and advise on all types of commercial contracts, including general terms and conditions, contracts for the sale or supply of goods and services, joint ventures, licensing agreements and consultancy arrangements.

EMPLOYMENT

 

We work with both employers and employees in relation to all types of employment and immigration issues and are able to advise on settlement agreements, tribunal litigation and the enforceability of restrictive covenants. We also advise on non-contentious employment matters including drafting employment contracts, terms and policies, dealing with HR issues and providing advice and support on the employment aspects of corporate transactions such as TUPE.

PEOPLE

Ted

Dewhurst

Ted is a corporate and venture capital lawyer with over 19 years' experience advising entrepreneurs, technology companies and venture capital firms on equity financings and a wide range of other transactions and commercial matters.

 

After qualifying as a solicitor in England with city firm Lawrence Graham in 1997, Ted spent a number of years in the venture capital team at Nabarro LLP before being appointed in-house legal counsel at Balderton Capital, a leading European venture capital firm. Ted joined JAG Shaw Baker as a partner in early 2014, leaving to start up Kesteven in the spring of 2015.

 

Ted has lectured in business law and mergers & acquisitions at the London College of Law, and has written papers and presented on numerous company law topics. Prior to embarking on his legal career, Ted spent three years working for Shell, initially in their chemicals division and then in crude oil trading.

Caroline

Banwell

Caroline Banwell has practised as a specialist employment lawyer for 19 years, training and working initially in the City.  She has advised a wide variety of clients from SMEs to multinationals as well as Cambridge Colleges.

 

She has frequently advised on corporate transactions and TUPE and on employment documentation, including post-termination restrictions.

 

Caroline advises both employers and employees on employment termination issues and settlement agreements.

 

The Legal 500 says: Caroline is "exceptionally capable”.  She “excels in employment law” and her “knowledgeable, practical and thorough advice [is tailored] to client’s needs”.

In addition to our core team we are able to draw on established associations with lawyers in many other specialist fields such as tax, litigation and real estate.

 

As a result we can provide seamless, integrated advice spanning a number of different practice areas as and when required.
